These Terms of Service ("Terms") govern your organization's access to and use of AMUSSIS (also referred to as "the Service"), a construction-bid intelligence platform operated by PPRP Innovations LLC ("we," "us," "our"). By creating an account or using the Service, the authorized representative of your organization agrees to these Terms on behalf of that organization ("Subscriber").
If you do not agree to these Terms, do not access or use the Service.
The Service is intended for businesses, contractors, and construction-industry professionals operating in the United States. You must be at least 18 years of age and have authority to bind your organization. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
Access to the Service requires an active subscription. Subscription fees are billed in advance on a recurring basis. All fees are non-refundable except as required by applicable law or as expressly stated in a written agreement. We reserve the right to change pricing upon 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
Failure to maintain current payment may result in suspension or termination of access. Amounts more than 30 days past due may be subject to interest at 1.5% per month (or the maximum rate permitted by law, whichever is less).
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your organization's internal business purposes — including bid management, go/no-go analysis, subcontractor tracking, project documentation, and related construction-management activities.
You agree not to:
You retain all ownership rights to the data, documents, and content you upload or create within the Service ("Your Data"). You grant us a limited license to store, process, and display Your Data solely as necessary to provide the Service. We will not sell Your Data to third parties or use it to train generalized AI models without your explicit written consent.
You are responsible for the accuracy and legality of Your Data. You represent that you have all rights necessary to submit Your Data to the Service and that doing so does not violate any applicable law or third-party rights.
Each party agrees to keep confidential the other party's non-public business information disclosed in connection with the Service. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that must be disclosed by law or court order.
All rights, title, and interest in the Service, including its software, algorithms, interface designs, and documentation, are and remain the exclusive property of PPRP Innovations LLC. These Terms do not transfer any intellectual-property rights to you beyond the limited license described in Section 4.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Bid-intelligence outputs, go/no-go recommendations, cost estimates, and similar analytical features are tools to support your decision-making, not professional advice. You remain solely responsible for all bidding, contracting, and business decisions made using or in reliance on the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PPRP INNOVATIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless PPRP Innovations LLC and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) Your Data, or (c) your violation of these Terms or applicable law.
These Terms remain in effect for the duration of your subscription. Either party may terminate at any time for material breach if the breach is not cured within 15 days of written notice. Upon termination, your license to use the Service ends immediately. We will retain Your Data for 90 days after termination, during which you may request an export; after that period data may be deleted without further notice.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. We will provide at least 14 days' notice by email or in-app notification before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
